BLABLATEL LLC, a company located at Georgia, Tbilisi, Gldani District, Omar Khizanishvili str. 264 (“BLABLATEL”), offers you (“you” or “your”, the registered user and licensee under these Terms) calling and other services (“Service”) through BLABLATEL’s licensed smartphone and web applications (“Licensed Application” or “Product”) available on BLABLATEL’s website at www.noise-me.com ("Site") or other third party websites. Licensed Application is licensed (not sold) to you by BLABLATEL for use only under these Terms. BLABLATEL reserves all rights not expressly granted to you.
NO ACCESS TO EMERGENCY SERVICES
The Licensed Application is not a replacement for your ordinary mobile or fixed line telephone. In particular, it does not allow you to make emergency calls to emergency services. You must make alternative communications arrangements to ensure that you can make emergency calls if needed.
NO ACCESS TO SPECIAL AND PREMIUM NUMBERS
Calls to special and premium rate phone numbers are not allowed and will not be provided by the Service.
CHECK RESTRICTIONS ON USE
There are restrictions on the use of the Licensed Application in some countries. It is your responsibility to ensure that you are legally allowed to use the Product where you are located.
AGE: You must be at least 16 years old to use the Product, the Service, and the Site (in certain countries at least 13 as required in your country for you to be authorized to use the Product, the Service, and the Site without parental approval). In addition to being of the minimum required age to use the Product, the Service, and the Site under applicable law, if you are not old enough to have authority to agree to our Terms of Use in your country, your parent or guardian must agree to our Terms of Use on your behalf.
NOISE ME CREDIT BECOMES INACTIVE AFTER 365 DAYS if you do not use your Noise Me credit for a period of 365 days (including the credit that has been allocated to you for free by Noise Me support administrator, when downloading the application, or any other earned Noise Me bonuses). If you want to reactivate your inactive Noise Me credit, you can send a request to support@noise-me.com indicating the current phone number registered with Noise Me app and wait for the confirmation. Reactivated Noise Me credit is not refundable. If your Noise Me account is canceled (deleted), your Noise Me credit will be lost. Noise Me account may be canceled in any of the following: you actively cancel your account; you remove Noise Me from your mobile device(s) and don’t reinstall it within 365 days; you do not log in to the Noise Me app within 365 days.
Acceptance of the Terms
The Terms of Use is a binding legal document between BLABLATEL and you that explains your rights and obligations as a user of the Licensed Application and the Service. By downloading and/or using the Product, the Site, and the Service you acknowledge and agree to the Terms and the BLABLATEL Privacy Policy. If you choose to not agree with any of these Terms, you may not use the Product and/or the Service and/or the Site.
Changes to the Terms
BLABLATEL may make some changes to these Terms from time to time without notice. BLABLATEL will publish the changes at www.noise-me.com website. The changes will be effective when published. You understand and agree that if you continue to use the Product, the Site, and the Services after the date of amendment publication, it shall constitute that you accept the updated Terms. If you do not agree with the amended Terms, you may terminate your relationship with BLABLATEL. BLABLATEL will post any adjustments to the Policy on this website, and the revised version will be effective immediately when it is posted (or upon notice as applicable).
License
Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable free of charge license to personally use the Licensed Application on mobile devices or personal computers that you own or control through your individual Noise Me user account.
This license does not allow you to use the Licensed Application on any device that you do not own or control and you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, sublicense the Licensed Application.
You may not remove, obscure or alter any copyright notices or other proprietary notices included in the Licensed Application, copy (except as expressly permitted by this License), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (unless the foregoing restriction is prohibited by applicable law, or permitted by the licensing terms governing the use of any open sourced components included with the Licensed Application, if any).
You agree not to use the License Application and any part of it within or to provide commercial products or services to third parties. At the same time, you are free to use the Product, the Site, and the Service for your own business communications.
Any copying or distribution, publication or commercial usage of the Site, or any content, software, code, data or materials on or from the Site, are strictly prohibited unless you have received express prior written permission from BLABLATEL.
If you breach or attempt to breach these restrictions, you may be subject to prosecution and damages. The terms of the License will govern any upgrades provided by BLABLATEL that replace and/or supplement the Product and/or Service, unless such upgrade is accompanied by a separate license in which case the terms of that license will govern.
Consent to Use of Data
By using the Licensed Application, you agree that BLABLATEL may collect and use data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support and other services to you (if any) related to the Licensed Application. We may use this information to improve our Product and Service or to provide services or technologies to you.
Termination
The license is effective until terminated by you or BLABLATEL. You may terminate your relationship with BLABLATEL at any time. Upon termination of the license, you shall cease all use of the Licensed Application, and delete all copies, full or partial, of the Licensed Application.
Your rights under this license will terminate automatically without notice from BLABLATEL if you fail to comply with any term(s) of this license.
BLABLATEL has the right to terminate its relationship with you and may suspend and cancel your user account, use of the Product, the Site, and the Service at any time and immediately, without prior notice to you, and without any obligation to compensate you for any loss due to such cancellation:
• if you are in breach of these Terms;
• if BLABLATEL reasonably suspects that you are using the Product, the Site, and the Service to break the law or infringe third party rights;
• if BLABLATEL reasonably suspects that you are trying to unfairly exploit or misuse the refund policy, or any of our policies;
• if BLABLATEL reasonably suspects that you are using the Product, the Site, and the Service fraudulently or that your user account is being used by a third party fraudulently;
• if BLABLATEL reasonably suspects that you are using the Product, the Site, and the Service for continuous operation, including but not limited to rerouting of communications, and automatic contacting of random and generated phone numbers;
• if BLABLATEL reasonably suspects that you are using the Product, the Site, and the Service for calls to special/premium rate phone numbers;
• in respect of a particular Product, on thirty (30) days’ notice if BLABLATEL decides to cease offering that Product;
• immediately, if required due to a change in or adverse interpretation of laws/regulation or where required by a regulator or authority with a lawful mandate, or by any of BLABLATEL’s partners;
• on thirty (30) days’ notice if BLABLATEL decides to cease offering the Product and Service generally or to users in your jurisdiction in particular.
BLABLATEL also reserves the right to cancel user accounts that have been inactive for more than one (1) year.
Use of Product and Service
In order to use the Product, the Site, and the Service, you are required to register a user account with Noise Me app. You agree to provide true, accurate, up-to-date and complete information in all fields indicated as mandatory when registering, as well as any additional information provided or any amendments made by you.
You understand that by using the Product, the Site, and the Service, you may encounter content that may be deemed offensive, indecent, or objectionable. Nevertheless, you agree to use the Licensed Application and the Service at your sole risk and BLABLATEL shall not have any liability to you for any content.
You agree not to exploit the Service in any unauthorized way whatsoever, including, but not limited to, trespassing or burdening network capacity.
BLABLATEL makes no representation that our Product and Service are available for use in any particular location. If you choose to access our Service, you do so at your own initiative and are responsible for compliance with any applicable laws, including but not limited to applicable local laws.
BLABLATEL may need to perform maintenance on or upgrade the Product Site or the underlying infrastructure. This may require BLABLATEL to temporarily suspend or limit your use the Product and Service. You will not be entitled to claim damages for such suspension or limitation of the use.
BLABLATEL has no obligation to make available any updates. At the same time, we may require you to download and install updates to use the Product and Service or automatically download and install updates to your device.
BLABLATEL reserves the right to change, suspend, remove, or disable access to our Service at any time without notice. In no event will we be liable for the removal of or disabling of access to our Service. We may also impose limits on the use of or access to our Service without notice or liability.
Unauthorized Use
You are responsible for all actions that take place as a result of access to or use of the Service via your access code and/or via your mobile phone independently of whether the access was made by yourself or by a third party using your access code and/or mobile phone.
If your mobile phone is stolen or if you become aware of unauthorized use of the Product, the Site, and the Service you must notify BLABLATEL immediately to block your user account and suspend the Service. You are responsible for all charges until the Service is suspended.
No Warranty
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICE, INCLUDING THE LICENSED APPLICATION AND THE SITE ARE AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND WE HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND THE SERVICE, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. WE DO NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE SERVICE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SERVICE WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US SHALL CREATE A WARRANTY. SHOULD THE SERVICE CAUSE ANY DEFECTS, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.
Limitation of Liability
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall our total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty US dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
Proprietary Rights
You agree that the Product and the Site contain proprietary content, information and material that is protected by applicable intellectual property and other laws, including but not limited to copyright, and that you will not use such proprietary content, information or materials in any way whatsoever except for permitted use of the Product and Service.
BLABLATEL and/or its licensors retain exclusive ownership of the Product Site and all intellectual property therein (whether or not registered and anywhere in the world). You will not take any action to jeopardize, limit or interfere with BLABLATEL’s intellectual property rights.
Charges
The prices for the Service are published on the www.noise-me.com website. BLABLATEL reserves the right to change the prices at any time without notice to you by posting such change on the Site. You understand and agree that if you continue to use the Product and the Services after the date of amendment publication, it shall constitute that you accept the updated prices. If you do not agree with the amended prices, you may terminate your relationship with BLABLATEL.
The duration of a call shall be based on one-minute increments. Fractions of minutes will be rounded up to the next minute.
Unless stated otherwise, all rates and charges shall be stated in Euro (EUR) and shall be exclusive of value added taxes (VAT) or other applicable taxes or fees. BLABLATEL may collect VAT or other applicable taxes at the appropriate rate for the particular territory (as per applicable tax rules) at the time of purchase of BLABLATEL credit.
Refunds and Bonuses
Unless otherwise provided by law or by a particular BLABLATEL offer, all purchases are final and non-refundable. If you believe that BLABLATEL has charged you in error, you must contact BLABLATEL within 90 days of such charge. No refunds will be given for any charges more than 90 days old. In exceptional cases, BLABLATEL can refund calls that failed to connect back to your Noise Me balance, if the call duration does not exceed 30 seconds and if less than 30 days has passed since the call.
We reserve the right to issue refunds or credits at our sole discretion. If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.
BLABLATEL reserves the right to refuse a refund or bonus request if it reasonably believes that you are trying to unfairly exploit this policy, for example, by making repetitive requests in respect of the same product or feature, by creating multiple Noise Me accounts, if you are in breach of the Terms, or if BLABLATEL reasonably suspects that you are using any of our products fraudulently or that your user account is being used by a third party fraudulently.
This policy does not affect any of your statutory rights to pursue a claim.
We make our best efforts to reward BLABLATEL’s loyal customers by means of bonus campaigns, including the referral (intended to promote BLABLATEL products to new users), ad videos, and testing programs. However, there may be rare situations where a program does not work properly due to some technical restrictions. Please refer to FAQ or contact technical support if you believe you experience some issues.
All free credits received by users during a bonus campaign are for the personal use in the BLABLATEL applications and services only. These credits are non-refundable, non-transferable and can’t be converted into money. In order to prevent fraudulent usage, misuse, and taking advantage of the referral system, BLABLATEL may limit the maximum amount of free credits to be received by users and withdraw issued bonuses. Creating multiple accounts with different phone numbers by one user is also considered as a misuse. BLABLATEL may withdraw free credits that have not been used by users within a period of 30 days after issuance date.
Bonus campaigns are valid until further notice. BLABLATEL reserves the right to stop a campaign at any time and for any reason, at BLABLATEL's sole discretion.
Jurisdiction
The Georgian law, excluding its conflicts of law rules, govern this License and your use of the Licensed Application. You expressly agree that the courts in Tbilisi have exclusive jurisdiction over any claim or dispute with BLABLATEL or relating in any way to your use of the Licensed Application or Service. Your use of the Licensed Application and Service may also be subject to other local, state, national, or international laws.

Please take a moment to read this Privacy Policy (“Policy”) details how we collect, use and protect the information in connection with our web site located at www.noise-me.com (“Site”) and calling and other services (“Service”) through BLABLATEL mobile applications (“Product”).
Personal information is information that can be used to identify or contact a single person, like your name, address, e-mail address, phone number, and other non-public information that is associated with this personal information.
By downloading, and/or using the Product and Service you acknowledge and agree to the BLABLATEL Privacy Policy and the Terms of Use. If you choose to not agree with any the Policy or Terms, you may not use the Product and/or Service.

Collecting, Using, and Sharing Your Personal Information
BLABLATEL may collect Personal Information as you interact with the Product, the Services, and the Site as described below. We endeavor to collect only the information which is relevant for the purposes of processing, provide our users with all means to rectify the information, and delete the information that is no longer necessary for the purposes for which the data is processed.
(I) Types of Personal Information BLABLATEL Collects
BLABLATEL collects Personal Information regarding its current, prospective, and former users, visitors, guests.
(a) Information you provide directly to BLABLATEL through interacting with the Product, the Services, and the Site, participating in surveys, and contacting the support. BLABLATEL collects information when you register, sign in and use our Product and Service. When you install the BLABLATEL App, you will be required to provide us with your phone number, which is used for identification purposes as your BLABLATEL user ID.
You may allow BLABLATEL App to access your mobile device's address book in order to: call your contacts from the applications; see the name of contact as it appears in your address book when you receive or make a call.
(b) BLABLATEL may collect certain information automatically. BLABLATEL may read the contents of the activation SMS sent to you by BLABLATEL for the sole purpose of service activation. BLABLATEL will not read the contents of any other messages on your device.
BLABLATEL keeps the phone numbers and/or other identification details of the calling and receiving party, start time, call duration, call quality, and Call Detail Record (CDR) for the calls that are made with the BLABLATEL Product and Service. These are industry standard records used by all phone companies for billing and statistics analysis that only contain technical information about calls. We do not record any part of your call.
BLABLATEL may collect certain information through the Product, the Services, and the Site, or methods of web analysis and technologies, such as your IP address (an IP address is a number that can identify a specific computer or other network device on the internet), cookie identifiers (“cookies”), mobile advertising identifiers, and other identifiers that are automatically assigned to your Device, location data, browser type, operating system, Internet service provider, mobile carrier, pages that you visit before and after using the Site, the date and time of your visit, information about the links you click and pages you view on the Site, and other actions taken on the Site. We analyze this data for trend, statistics and security reasons, e.g. to identify the location of users from different countries and to block disruptive and fraudulent use.
BLABLATEL doesn't store bank card data – the card information is safely treated by the payment processing system.
We may also use mobile advertising identifiers to recognize your device and perform the services. Depending on your device, you can choose to change or limit the transmission of your mobile advertising identifier by going into your device settings. If you would like to opt out of other technologies we employ to collect certain types of information, you may do so by blocking, deleting, or disabling them as your browser or device permits.
(c) BLABLATEL may also obtain information about you through third-party services as described below to supplement information provided by you. This supplemental information allows us to verify information that you have provided to BLABLATEL and to enhance our ability to communicate with you, and to detect, investigate, prevent, and address fraud and other illegal activity, security, or technical issues.
We may use your personal data in order to provide our Services, including improving your satisfaction and loyalty. The purpose of data processing is to improve co-operation, promote loyalty and maintain satisfaction (loyalty call, service call for a person with the goal of improving their experience, identifying desires and needs, identifying a person's satisfaction). We may occasionally ask you to provide information on your experiences of using the Product and the Services. Such information is used to improve the quality of the Services.
(II) Cookies
BLABLATEL, as well as third parties that provide communication, advertising, or other means, may use cookies, mobile device identifiers and other technologies to automatically collect information through the Product, the Service, and the Site.
BLABLATEL may use cookies, which are small text files stored on your device, to help operate the Product and provide the Service and collect information about activity. Cookies and web beacons may be used to store your preferences, information when you register and sign-in and use our Product and Service, provide targeted ads, content and marketing communications, prevent fraud, analyze site statistics and operations. By using the Product, the Service, and the Site you are giving your consent to the use of cookies. You may control cookies and similar technologies with a variety of tools and browser add-ons that will prevent your browser from accepting new cookies, disable cookies, have the browser notify you when you receive a new cookie, etc. However, because cookies allow you to take advantage of useful features, we recommend you leave them turned on.
(III) Analytics Information
BLABLATEL may use Google Analytics and Yandex Metrics to collect, process, and analyze trends regarding Site visitor behavior and demographics. For more information about Google Analytics, please visit www.google.com/policies/privacy/partners/. You can opt out of Google’s collection and Processing of data generated by your use of the Services by going to http://tools.google.com/dlpage/gaoptout. (IV) The Purposes of the Processing
BLABLATEL collects your personal information for the purpose of:
Providing our Services: we use your registration and account data to (i) sign you up for the Product and create your user account for BLABLATEL; (ii) process your payments; (iii) provide customer service, give you information about your account, and respond to your requests; (iv) display the name of the contact as it appears in your address book.
(a) Improving our Services: we use call log information and usage information (as described above) to better understand network behaviour and trends (numbers of calls made by users, typical destinations, call durations, network type, etc.), detect potential technical issues.
(b) Processing your payments: we may use your information like your phone number to process your payments for our Services through a secured third-party service provider and, on an aggregate basis to determine charges for our phone carriers and other service providers.
(c) Personalizing and optimizing our Services, promotional content and advertising to you. For example, we may use the information we collect through cookies, ad identifiers and similar technologies to show you ads you may be interested in.
(d) Preventing cheating, crime or fraud: we may use your information to prevent, detect, and investigate fraud, security breaches, potentially prohibited or illegal activities, protect our trademarks and enforce our Terms of Use. We may use automated decisions to suspend an account based on such data in order to prevent recurring breaches. If your account has been suspended, you can contact our support. We may use your information and call log information to comply with applicable laws.
(e) Communicating with you: we use your information to contact you (via message or other means) to maintain the Product, to comply with your stated communication preferences or to provide updates about other BLABLATEL’s services.
(f) As otherwise expressly set out in this Policy or as required by law.
(V) Sharing of Personal Information
In order to provide you with the Service you have requested, enhance your user experience, and improve the Product and Service, BLABLATEL may sometimes, if necessary, share your personal information with trusted partner service providers, including, but not limited to: payment and analytical services, customer support, hosting services, quality control of services, safety and protection, providing organizational management. BLABLATEL will always require these third parties to take all necessary measures to protect your personal data and to observe the relevant legislation. The following is a description of how we may share your personal information with trusted third party partners:
(a) We use third party companies in order to send you an authentication SMS when you register with BLABLATEL. In order to send you the SMS, we send one of these third party companies your phone number and the authentication message. These third parties are obligated to use your phone number for the transmission of the authentication SMS only.
(b) We use payment solution providers to process the payment and/or billing information. We require that these third parties take the appropriate organizational and technical measures to protect your personal information and to comply with relevant laws, but we are not liable or responsible for these third party transactions. Therefore, you should review such third party terms and conditions before providing your payment or billing information.
(c) When you use BLABLATEL on your mobile device, BLABLATEL may use notification services available for that device to let you know of alerts when you are not running the mobile application. These services are provided by a third party. For example, messages sent to an Apple device use Apple’s Push Notification Services. Notification services may receive information about the caller and may use the information in accordance with the privacy policy for the third party service provider. BLABLATEL is not responsible for the data collected by third party notification services. If you do not want to use third party notification services to receive notifications of incoming calls and alerts, you can disable this in your device notification settings.
If we go through a business transition, such as a merger, acquisition by another company, or sale of all or a portion of our assets, personal information would likely be among the transferred assets. As part of such a transaction, the new entity will be required to commit to the same level of protection of your Personal Information as described in this Privacy Policy.
Children’s Privacy
The Site, the Product, and the Service are restricted to individuals over the age of 16. We do not knowingly collect, maintain, or use Personal Information from children under 16 (in certain countries under the age of 13) years of age, and no part of the Site, the Product, and the Service is directed to children under the age of 16 (in certain countries under the age of 13). If you learn that your child has provided us with Personal Information without your consent, you may alert us at support@noise-me.com. If we learn that we have collected any Personal Information from children under 16 (and in certain jurisdictions under the age of 13), we will promptly take steps to delete such information and terminate the account.
Data Retention Periods
We process your personal data no longer than it is necessary and relevant for us to achieve the purposes referred to above or to enable us to comply with our legal data protection retention obligations. The retention period may be based on agreements with you, the legitimate interest of BLABLATEL or applicable law (such as laws related to bookkeeping, statute of limitations, civil law, etc.). Upon deactivation of your account, we will minimize the personal data we keep about you only to such data which we are required to keep to comply with laws, or other legal reasons.
Security
We take reasonable precautions to protect personal information including physical, electronic, and procedural safeguards. Private information is stored on servers with limited access in controlled facilities, and payment information is protected with Secure Socket Layer (SSL) encryption when transferred over the internet. Although we cannot guarantee that personal information will not be subject to unauthorised access as no method of transmission over the Internet, or method of electronic storage, is 100% secure.
Geographical Area of Processing
